About CS Profession

  • The full form of CS is ‘Company Secretary or Chartered Secretary’
  • CS is considered as India’s number one Corporate law and Corporate Governance profession. The role and title of CS is created by act of parliament through the Company Secretaries Act, 1980. The profession of CSis created through the above Act has been then entrusted with various roles and responsibilities under Company laws, Securities laws and various other Indian legislations/Acts as Company Secretary, Secretarial Auditors, Legal officer, Key Managerial Person etc.
  • Since then, the CS profession has gained tremendous importance and significant growth by their quality services and areas of expertise in the field Company laws, Securities laws, Financial Markets, Corporate governance, Labour laws and corporate management.
  • CS is considered as Key managerial person in the company and he is entrusted with the responsibility of ensuring complete legal compliance and corporate governance in the company.
  • Currently CS qualified members are 40,000 (approx.) which is far below than the industry requirement.
  • CS profession is regulated and manged by Institute of Company Secretaries of India (ICSI), New Delhi.

Levels in CS Exams

Foundation Programme

Consist of 4 papers of 100 marks each Duration: 3 hour

Executive Programme

Module 1 (Consist of 4 papers of100 marks each) Duration: 3 hour
Module 2 (Consist of 3 papers of100 marks each) Duration: 3 hour

Professional Programme

Module 1 (Consist of 3 papers of100 marks each) Duration: 3 hour
Module 2 (Consist of 3 papers of100 marks each) Duration: 3 hour
Module 3 (Consist of 3 papers of100 marks each) Duration: 3 hour

Eligibility to Enrol for CS

  • After passing 10+2 (or equivalent), student can enrol for CS-Foundation Programme
  • Any graduate or CS/CA/CMA-Foundation passed candidatecan enrol directly for CS- Executive Programme
  • After Executive Programme, one can register for Professional Programme.

Provisional Registration for Intermediate

Student who is pursuing 10+2 can also apply registraion provisionally for CS - Foundation and similary a student pursuing degree final year can also apply for CS-Executive registration provisionally. In both the case, student need to submit the proofs of exam passed with in 6 months.

CS- Foundation - For 10+2 passed students
- Before 31st March to write CS- Foundation exam in December
- Before 30thSeptember to write CS-Foundation exam in June
CS- Executive - For Graduation completed students or Foundation passed students

Documents needed for Registration

CS- FoundationProgramme (Applicable for 10+2 pass students)

  • Students needs to register to CS-Foundation course by Filling online registration form available in ICSI portal (www. ICSI.edu)
  • Upload following scanned documents
    • - the recent colour photo graph on the above form
    • - 10+2 marks card
    • - 10th marks card indicating name and date of birth
    • - Aadhar card
  • Pay required fee after filling the above application form
  • System will automatically generate the Form after the above process
  • After successful completion of the above registration student will get Study material from the ICSI.

CS-Professional Programme (Applicable for Graduates/Foundation passed out students)

  • Students needs to register to CS- Executive programme by filling online registration form available in ICSI portal (www.ICSI.edu)
  • Upload the scanned copies of the following documents
    • - The recent colour photo graph on the above form
    • - Aadhar card
    • - 10+2 marks card
    • - Foundation marksheet for Foundation passed out students
    • - Foundation marksheet for Foundation passed out students
  • Pay required fee after filling the above application form
  • System will automatically generate the Form after the above process
  • After successful completion of the above registration student will get Study material from the ICSI.

Exam Structure

  • Exam will be conducted twice in a year – June/December
  • Results will be declared within 2 months from the Exams.
  • Only after passing one level student can go to another level i.e. after passing foundation one can go to Executive and similarly, after passing Executive one can go to Professional programme
  • Executive and Professional student has an option to write either single group or both or multiple groups.
  • Below subjects are Objective based exam. Remaining papers are descriptive.
    • Foundation
    • Cost & Management Accounting (Paper 2 of Professional programme)
    • Cost & Management Accounting (Paper 2 of Professional programme)
    • Industrial, Labour and General Laws (Paper 7 of Professional programme)
  • Exam application due date would be – 25th March for June exam and 25th September for Dec exam
  • Exam fee would be Rs 1200 for foundation/one module
  • Medium of exam is in Hindi/English

Minimum marks to pass CS

  • Minimum 40 marks in each paper and aggregate 50% of all papers put to-gather
  • If any of the above two conditions are not met, student needs to write all the papers once again. Example – Foundation student got all papers 40 marks above but failed to get 200 marks in all four papers, then he/she is considered to have failed in the exam.

Practical Trainings

  • Student is required to undergo practical training/long term internship with specific entities for the following duration
    • 3 years on registration to Executive programme
    • 2 years after passing Executive programme
    • 1 year after passing Professional programme
    • Exempted with relevant experience
  • Student need to under go such training in the following manner
    • Under any Practising secretary
    • Or, in a Company having paid up capital of at least 50 lakhs

Qualifications to be used after Passing CS

After successful completion of CS-Professional, student will become qualified Company Secretary. After paying necessary membership fee member is eligible to use “ACS” (Associate Member of Compnay Secretary) and after completion of 5 years of relevant industry/practice experience member can use “FCS” (Fellow Member of Company Secretary) as qualification.

CS qualified is also eligible to use prefix of “CS” before their name.

Company secretary is a mandatory role in every company with a paid-up capital of more than 2 crores and his position is known as Key Managerial Person (KMP) as per companies Act. CS will be appointed by the Board.
